Abstract

This study investigates the effect of corporate governance on the financial performance of listed consumer goods firms in Nigeria. The main objective was to evaluate how governance mechanisms impact firm performance, while the specific objectives were to examine the effects of board size, board independence, board gender diversity, and board diligence on profitability. The study used secondary data from financial reports of four consumer goods firms listed on the Nigerian Stock Exchange, covering the years 2012 to 2024. The dependent variable was return 11 on assets (ROA), while the independent variables were board size, board independence, board gender diversity, and board diligence. The study focused on four firms across thirteen years. It adopted an ex post facto research design. Panel regression techniques were used, including pooled OLS and fixed effects models, with redundant fixed effects testing applied for model selection. The findings showed that board independence had a positive and significant effect on profitability. Board gender diversity had a negative and marginally significant effect. Board size and board diligence had negative but non-significant effects. The study concluded that board independence is the most critical governance mechanism for enhancing financial performance in Nigeria's consumer goods sector. It is recommended that firms prioritise board independence while implementing more nuanced approaches to gender diversity that address structural and cultural barriers to effective participation.
