Abstract

This study aims to examine the legal protections provided by Nigeria's Companies and Allied Matters Act (CAMA) 2020 for minority stockholders. The study looks at how corporate governance is affected by the natural power imbalance between majority and minority owners. This study aims to assess the legal safeguards afforded to minority stockholders, such as derivative lawsuits and remedies for discriminatory behaviour and oppression. It is based on the concepts of justice, accountability, and fairness. It examines the legislative exclusions under CAMA that enable minority shareholders to pursue judicial remedies while highlighting the rule's lasting impact in Foss v. Harbottle. The study evaluates the efficacy, enforcement difficulties, and practical constraints of these protective mechanisms using doctrinal analysis, pertinent case law, and comparative perspectives. According to the study, majority owners frequently engage in unlawful or abusive behaviour while disregarding Nigerian company legislation, which may jeopardise the interests of minority shareholders. The study highlights conceptual uncertainties in terms like "oppression" and "unfair prejudice" and promotes judicial clarity and legal change. All things considered, regulatory modifications may strengthen business transparency standards, guaranteeing minority shareholders prompt access to crucial operational, financial, and policy data. This protects their interests by encouraging better decision-making and more successful involvement in company governance.
