Abstract
This study critically examined the personal liabilities of company directors and officers under the Companies and Allied Matters Act 2020. The study therefore explored the legal framework regulating directors’ and officers’ liabilities under CAMA 2020 and analysed the statutory duties and obligations imposed on them in the discharge of corporate responsibilities.The research adopted a doctrinal methodology, relying on primary and secondary sources of law, including statutes, judicial authorities, textbooks, journal articles, and online legal materials. The study examined provisions relating to fiduciary duties, duty of care and skill, fraudulent trading, wrongful trading, insider dealings, misstatements in company documents, and breaches of statutory obligations. It further evaluated the practical challenges associated with the enforcement of directors’ and officers’ liabilities, including weak regulatory oversight, procedural difficulties, inadequate sanctions, poor corporate governance culture, and limited judicial efficiency.Findings from the study revealed that although CAMA 2020 introduced significant reforms aimed at strengthening corporate accountability and aligning Nigerian corporate law with international best practices, several gaps still hinder effective enforcement. The study recommended reforms such as strengthening regulatory institutions, improving judicial enforcement mechanisms, enhancing corporate governance compliance, imposing stricter penalties for breaches of directors’ duties, and promoting continuous legal and corporate education for directors and officers. It is further recommended that statutory provisions and greater collaboration between regulatory agencies to ensure effective implementation of CAMA 2020.
